በባንክ ውስጥ ጠንካራ የኩባንያ አስተዳደር መኖር የዳይሬክተሮች ቦርድ አባላትና ሥራ አስፈጻሚዎች የባለአክሲዮኖችን ዒላማዎች ከግብ ማድረስ እንዲችሉ የሚያነቃቃቸው ነው። በባንክ ውስጥ የኩባንያ መላካም አስተዳደርን መተግበር ባንኩ ለሚያከናውናቸው እንቅስቃሰዎች ኃላፊና ተጠያቂ የሆነ አካል እንዲኖር ያደርጋል።

ባንክ ከከሰረ ባለአክሲዮኖች “ጥቅም ልናገኝበት እንችላለን” ብለው ያዋጡትን ገንዘብ አያገኙም። ገንዘባቸውን በባንክ ውስጥ ያስቀመጡ ግለሰቦችና ድርጅቶች ገንዘባቸውን ላያገኙ ይችላሉ። ከባንኩ ጋር ሥራ የሚሠሩ ድርጅቶች ይከስራሉ። በባንኮች ውስጥ የተቀጠሩ ሠራተኞች ሥራቸውን ያጣሉ። መንግሥት ከባንኮች የሚያገኘውን የተለያዩ ገቢዎችን ያጣል።

የአንድ ባንክ ሀብት የባለአክሲዮኖች ብቻ አይደለም። ዘጠና በመቶ ገደማው ባለአክሲዮኖች ያልሆኑ የብዙ ግለሰቦችና ተቋማት ሀብት ነው። የዳይሬክተሮች ቦርድ ባንክን የማስተዳደር ኃላፊነቱን በብቃት በመወጣት ሂደት ውስጥ ተጠያቂነቱን በደንብ እንዲገነዘብ አስፈላጊ ናቸው የተባሉ ድንጋጌዎች ተዘርዝረዋል። የዳይሬክተሮች ቦርድ አባላት ጉድለቶችን በመለየት የሚታረሙበትና የሚሻሻሉበት መንገዶች ተመላክተዋል።
የአሠራርና ሌሎች ማሻሻያዎች ልክ እንደ ካፒታል ማሳደግ ሁልጊዜ የግድ ከኢትዮጵያ ብሔራዊ ባንክ ብቻ መመንጨት የለባቸውም። ባለአክሲዮኖች በጠቅላላ ጉባኤያቸው በማሻሻያ ሀሳቦች ላይ ተወያይተው የማሻሻያ ህሳቦችን ሊያመነጩ ይገባቸዋል።
